Ascend Wellness Terms of Service

Effective Date: August 28, 2026 • Commercial SaaS & M-Pesa Merchant Agreement (Kenya & East Africa)

Important Notice to Users: Please read these Terms of Service ("Agreement") carefully before completing registration or accessing the Ascend Wellness platform. By creating a Director or Branch account, subscribing to a plan, or utilizing M-Pesa payment integration, you ("Merchant", "Business", or "User") agree to be bound by all terms herein.

1. Acceptance of Terms & Service Scope

Ascend Wellness provides a cloud-based multi-tenant operating system for spa, salon, barbershop, med-spa, and aesthetic clinic management. This Agreement applies to all account owners, branch managers, cashiers, and practitioners accessing the platform via web browsers, tablets, mobile applications, or API integrations.

2. Director Account Registration & Multi-Tenant Isolation

  • Account Credentials: Account creators represent that they have legal authority to bind their business entity. Directors are responsible for maintaining strict password and token confidentiality.
  • Tenant Data Isolation: Ascend Wellness employs multi-tenant software architecture. Customer records, financial ledgers, and staff commission data remain strictly isolated to your registered business tenant.

3. Subscription Tiers, Billing & Free Trial Policy

  • Subscription Plans: Access to features is governed by the selected subscription tier (Starter, Business Plus, Executive Pro) billed in Kenyan Shillings (KES) or USD.
  • 7-Day Free Trial: Free trial accounts grant full feature access for 7 calendar days. Unless an active subscription payment is processed prior to trial expiry, account access will automatically transition to restricted billing mode.
  • Subscription Renewals: Monthly and annual subscriptions auto-renew at the end of each billing cycle unless cancelled through the Director Portal.

4. M-Pesa & Payment Gateway Integrations

Ascend Wellness integrates with licensed payment service providers in Kenya, including Safaricom M-Pesa Daraja C2B/STK Push APIs and PayHero payment gateways:

  • Direct Merchant Settlement: Ascend Wellness does not act as a financial institution or hold customer funds in escrow. All customer payments settle directly to your business Paybill, Till Number, or bank account.
  • STK Push Authorization: Mobile STK Push transactions require explicit PIN entry by the account holder. Ascend Wellness is not liable for invalid PIN entries or mobile network delays outside our platform control.

5. Data Privacy & Kenya ODPC Compliance Alignment

Ascend Wellness adheres to the Kenya Data Protection Act (2019). Personal data collected from appointment bookings, client prepaid wallets, and sensitive clinical consultation notes (MedSpa module) is processed in accordance with our Privacy Policy.

6. Platform Uptime & SLA Commitments

We target a 99.9% operational uptime SLA. In the event of temporary internet connectivity disruptions, local 80mm thermal receipt printing and offline queue management functionality continue to operate on local hardware.

7. Account Termination & Data Export

Merchants may cancel subscriptions at any time. Upon termination, Directors retain 30 days to export client lists, booking logs, and financial ledger data in CSV format prior to account archival.

8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Republic of Kenya. Any disputes arising from the implementation of these terms shall be subject to the jurisdiction of courts in Nairobi, Kenya.
